Welcome, and thank you for your interest in Beijing Yuanshi Shuju Technology Co., Ltd. (“Yuanshi Shuju”, “we”, or “us”), the maker of the GooseWrite Platform. These Terms of Service (“Terms”) govern your access to and use of GooseWrite's proprietary applications, software, Documentation, and related tools, including the website www.goosewriteapp.com, and all related desktop applications made available by Yuanshi Shuju to build, create, edit, and manage work projects (collectively, the “Service”). By using the Service, you agree to these Terms.

Please also read our Privacy Policy, which explains how we collect, use, disclose, and process personal data.

If you are using the Service as part of your work for a company or organization that has a Master Services Agreement (“MSA”) with Yuanshi Shuju, your use of the Service is governed by that MSA.

If you are entering into these Terms on behalf of an entity, you represent that you have the legal authority to bind that entity.

1. Access and Use.

1.1. Provision of Access.

Yuanshi Shuju provides the GooseWrite software platform, an all-in-one information flow workstation designed to connect, manage, and synchronize multi-format deliverables. The Service offers a suite of productivity, content orchestration, and information flow management tools driven by our proprietary synchronization engine to help users streamline their workflows and maintain real-time accuracy across all documents. Subject to your compliance with these Terms, Yuanshi Shuju grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to download, install, and use the Service on your personal or business devices. The Service and licenses granted under these Terms are exclusively intended for use in regions outside of Mainland China (which, for the purpose of these Terms, excludes the Hong Kong Special Administrative Region, the Macao Special Administrative Region, and Taiwan). If you access or use the Service within Mainland China, such use shall be governed by separate applicable domestic terms and agreements issued by Yuanshi Shuju.

1.2. Content Ownership and User Responsibility.

(a) Ownership.

You retain 100% ownership, intellectual property rights, and copyright over all data, information, documents, images, templates, or other elements you import, create, or process within the software (collectively, “Materials”). All data, charts, documents, presentations, or any embedded elements therein (including tables, images, or other materials) generated, synchronized, or exported by the Service based on your materials shall be collectively referred to as “Outputs”. Your Materials and the resulting Outputs are collectively referred to as “Content”. We claim no ownership or intellectual property rights over any of your Content.

(b) Restricted Use.

As a Local-First platform, your Content is stored locally on your own device. We do not access, collect, or upload your Content, except as strictly necessary to comply with applicable law or enforce our terms.

(c) Responsibility and Output Disclaimer.

By processing Content within the Service, you represent and warrant that you possess all necessary rights, licenses, and permissions. You are solely responsible for ensuring that your Content does not violate any third-party intellectual property rights, confidentiality obligations, or applicable laws. You acknowledge that your Outputs are generated or managed automatically by the software's synchronization engine based on your materials. You agree that you are solely responsible for evaluating, verifying, and bearing all risks associated with the use of any Outputs, including any reliance on the accuracy, completeness, or usefulness of such Outputs. We shall not be liable for any errors, inaccuracies, or business losses resulting from your reliance on the software’s automated Outputs.

(d) Technical and Performance Data.

To improve software stability, performance, and user experience, the software may automatically collect anonymous, non-personally identifiable technical and diagnostic information (collectively, “Performance Data”).

(i) Scope.

Performance Data includes, but is not limited to: (i) software lifecycle events (such as download, installation, launch, and update status); (ii) hardware and environment metadata (such as operating system version, CPU architecture, and software version); and (iii) stability telemetry (such as error logs, bug reports, performance latency, and crash analytics).

(ii) Data Separation.

Performance Data is strictly segregated from your Content. While Performance Data does not intentionally collect your Content, temporary technical contexts may occasionally be included within automated error logs to identify bugs. Temporary technical contexts include, but is not limited to: (i) local file paths; (ii) code execution error locations; (iii) system environment states; (iv) minor contextual snippets underlying active operations. You acknowledge that to the extent any such temporary technical contexts (such as local file paths or contextual snippets) contain or constitute 'personal data' under applicable data protection laws (including the GDPR and CCPA), such data will be processed strictly in accordance with the user control mechanisms and lawful bases specified in our Privacy Policy. We use Performance Data solely to maintain, optimize, and troubleshoot the software, and such data will never be used for marketing purposes or permanent storage of your intellectual property. For detailed information regarding how we handle, secure, and process any personal data that may be incidentally captured within our diagnostic and performance telemetry, as well as your specific rights to control, opt-out, or restrict such data collection, please refer to our Privacy Policy.

1.3. Use Restrictions.

Except and solely to the extent such a restriction is impermissible under applicable law, you may not, and you shall not knowingly permit, assist, or encourage any third party to:

(a) reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive or gain access to the source code, object code, or underlying structure of the Service;

(b) reproduce, modify, translate, or create derivative works of the Service, or split the Service (which is licensed as an integrated single product) into its constituent components;

(c) rent, lease, lend, sell, sublicense, distribute, or otherwise exploit for any unauthorized commercial purpose any portion of the Service;

(d) remove, alter, or obscure any proprietary notices, copyright markings, or branding from the Service;

(e) probe, scan, or attempt to penetrate, circumvent, or test the vulnerability of the Service's security infrastructure;

(f) provide or disclose to any third party the results of any benchmark or performance tests of the Service without Yuanshi Shuju’s prior written consent;

(g) harvest, scrape, crawl, or extract data from the Service using automated means;

(h) use the Service in any manner that infringes, misappropriates, or otherwise violates any third party’s intellectual property, privacy, or other proprietary rights, or that violates any applicable laws or regulations;

(i) copy, input, or otherwise process within the Service any highly regulated or sensitive personal data (including but not limited to financial, medical, or health insurance records subject to specialized compliance standards) in such a manner as to cause such data to be transmitted to Yuanshi Shuju through support communications or automated diagnostic and telemetry systems;

(j) use the Service to process, manage, or store any data or materials that violate national security laws, export control regulations, or trade sanctions of any applicable jurisdiction, including without limitation classified military secrets, espionage intelligence, or highly sensitive government data;

(k) knowingly permit, assist, or encourage any third party to do any of the foregoing.

You will promptly notify Yuanshi Shuju of any unauthorized use or security breach that comes to your attention and provide reasonable cooperation to prevent and terminate such events to the extent it is within your control.

1.4. Beta Services.

From time to time, Yuanshi Shuju may make experimental or pre-release features available to you (“Beta Services”). Beta Services will be clearly designated as beta, pilot, limited release, early access, evaluation, or a similar description. You may choose to use or not use such Beta Services in your sole discretion. Beta Services are intended solely for evaluation purposes and not for production use, are not fully supported, and may be subject to additional terms that may be presented to you. Beta Services are provided on an “as-is” and “as-available” basis without any warranty, support, maintenance, or storage obligations of any kind. Yuanshi Shuju may modify or discontinue Beta Services at any time in our sole discretion without prior notice. YUANSHI SHUJU SHALL HAVE NO LIABILITY WHATSOEVER ARISING OUT OF OR IN CONNECTION WITH BETA SERVICES. YOUR USE OF BETA SERVICES IS ENTIRELY AT YOUR OWN RISK.

1.5. Operating Environment.

The Service requires specific hardware and software environments to function properly. You acknowledge that your use of the Service on devices or operating systems that do not meet the following requirements is at your sole risk and responsibility.

(a) System Requirements.

For the macOS version of GooseWrite, the requirements are as follows:

(i) Minimum System Requirements (For basic editing and small projects):

OS: macOS 10.15 (Catalina) or later;

CPU: Intel Quad-core or Apple Silicon (M1/M2/M3);

Memory: 8 GB RAM;

Storage: 5 GB of available disk space.

(ii) Recommended System Requirements (For large datasets, complex charts, and heavy exporting):

OS: macOS 12 (Monterey) or later;

CPU: Apple Silicon or Intel 8-core CPU;

Memory: 16 GB RAM (8 GB minimum);

Storage: 10 GB of available disk space.

(b) Performance Scaling.

You understand and agree that the performance and stability of the Service scale with your hardware. Larger data files, complex image rendering, or heavy document conversion tasks may require system resources beyond the minimum requirements. Yuanshi Shuju reserves the right to unilaterally modify these operating environment requirements from time to time to reflect technical upgrades and software evolution.

1.6. Open Source Statement.

The Service may contain third-party open-source components. Use of these components is subject to their respective open-source licenses, which can be found in the "About" section or dedicated Open Source Statement of the software.

1.7. Advertising.

Yuanshi Shuju may, at its sole discretion, display advertisements or promotional offers within the Service. Your communications or dealings with such advertisers are solely between you and the third party. Yuanshi Shuju shall not be responsible for any loss or damage incurred as a result of such dealings.

2. Eligibility.

You must be at least 18 years old or the age of majority in your jurisdiction, whichever is higher, to use the Service. By agreeing to these Terms, you represent and warrant to us that:

(a) you are at least 18 years old or the age of majority in your jurisdiction, whichever is higher;

(b) you have not previously been suspended or removed from the Service;

(c) your registration and use of the Service is in compliance with all applicable laws in your region.

3. Account.

3.1 Account Registration and Access.

To access most features of the Service, you must register for an account. When you register for an account, you may be required to provide us with certain information about yourself, such as your email address. You agree that the information you provide to us is accurate, complete, and not misleading, and that you will keep it accurate and up to date at all times. Authentication and login services are securely managed through our third-party identity provider, Clerk Inc. and its affiliates (“Clerk”). You are solely responsible for maintaining the security, validity, and confidentiality of all account credentials, login sessions, and access links—whether issued directly via Clerk (such as single-sign-on sessions or magic links) or connected through a partner account (such as Google or Facebook). You accept full responsibility for all activities that occur under your account, and any use of a partner account is subject to the respective terms and conditions of such third-party provider. If you believe that your account is no longer secure or has been subject to a security breach, you must immediately notify us at support@goosewriteapp.com. If a third-party partner providing the account authentication is no longer authorized by Yuanshi Shuju, we will make reasonable efforts to notify you and provide guidance on how to migrate your account profile and authentication records to a compatible login method. Failure to complete such migration may result in the suspension or cancellation of your account authentication privileges.

3.2 Device Limitations.

Yuanshi Shuju reserves the right to limit the number of hardware devices (including but not limited to personal computers and laptops) that may be concurrently authenticated under a single account via the Service's authentication engine (e.g., Clerk). You shall not permit any third party to use your account credentials or premium features. Notwithstanding anything to the contrary in Section 4.1, any detected unauthorized multi-device sharing or credential pooling may result in the immediate suspension or termination of your account authentication without any refund or liability of any kind.

4. Payment Terms.

4.1. Paid Services.

Certain features of the Service may require you to pay fees. Before you pay any fees, you will have an opportunity to review and accept the fees that you will be charged. Unless otherwise specifically provided, all fees are billed in U.S. Dollars.

Your purchases and subscriptions are explicitly subject to our standalone Refund Policy (available at our Refund Policy page or within the Service), which is incorporated into these Terms by reference.

(a) Initial Purchase Window.

As detailed in our Refund Policy, you may request a full refund for your first paid subscription within seven (7) calendar days for Monthly plans, or within fourteen (14) calendar days for Quarterly and Yearly plans, from the date of the initial successful payment.

(b) Automatic Renewals and Discretionary Exceptions.

Automatic renewals are generally non-refundable. However, Yuanshi Shuju may, at its sole and absolute discretion, approve a partial or full refund under exceptional circumstances, such as duplicate charges caused by billing errors or a persistent, material technical defect that prevents normal use of the software on a supported device (where the issue cannot be resolved after reasonable support efforts). Any such application must be submitted within thirty (30) days of the occurrence.

(c) EU/EEA/UK Consumers.

For users residing in the European Union (EU), the European Economic Area (EEA), or the United Kingdom (UK), your statutory 14-day right of withdrawal from digital service contracts shall be fully satisfied and governed by the standard 14-day refund windows provided for our Quarterly and Yearly plans, or the 7-day window provided for Monthly plans, as set forth in our Refund Policy.

EXCEPT AS EXPLICITLY SET FORTH IN THESE TERMS AND OUR STANDALONE REFUND POLICY, OR AS MANDATORILY REQUIRED BY THE APPLICABLE LAWS OF YOUR LOCAL JURISDICTION THAT CANNOT BE WAIVED BY CONTRACT, ALL PAYMENTS MADE TO YUANSHI SHUJU ARE NON-REFUNDABLE, AND THERE ARE NO REFUNDS OR CREDITS FOR PARTIALLY USED SUBSCRIPTION PERIODS.

4.2. Pricing.

Yuanshi Shuju reserves the right to determine pricing for the Service. Yuanshi Shuju will make reasonable efforts to keep pricing information published on the Service up to date. We encourage you to check our pricing page periodically for current pricing information. Yuanshi Shuju may change the fees for any feature of the Service, including additional fees or charges, if Yuanshi Shuju gives you advance notice of changes before they apply through the Service user interface, a pop-up notice, email, or through other reasonable means. Your continued use of the Service after the price change becomes effective constitutes your agreement to pay the changed amount. You will be responsible for all applicable taxes, duties, or tariffs associated with your purchase of the Service (including but not limited to Sales Tax, VAT, or GST), which may be automatically calculated and collected from you at checkout by our Merchant of Record, Lemon Squeezy, LLC, other than taxes based on Yuanshi Shuju’s net income. Yuanshi Shuju, at our sole discretion, may make promotional offers with different features and different pricing to any of Yuanshi Shuju’s customers. These promotional offers, unless made to you, will not apply to your offer or these Terms.

4.3. Payment Processing.

To facilitate payment for the Service via bank account, credit card, or debit card, we use Lemon Squeezy, LLC and its affiliates (“Lemon Squeezy”), a Merchant of Record and third-party payment processor. These payment processing services are provided by Lemon Squeezy and are subject to the Lemon Squeezy terms and conditions and other policies available at https://lemonsqueezy.com/terms, Lemon Squeezy’s Privacy Policy available at: https://lemonsqueezy.com/privacy, and Lemon Squeezy's Data Processing Agreement available at: https://lemonsqueezy.com/dpa (collectively, the "Lemon Squeezy Agreements"). By agreeing to these Terms, users that use the payment functions of the Service also agree to be bound by the Lemon Squeezy Agreements, as the same may be modified by Lemon Squeezy from time to time. You hereby authorize Lemon Squeezy to store and continue billing your specified payment method even after such payment method has expired, to avoid interruptions in payment for your use of the Service. Please contact Lemon Squeezy for more information. Yuanshi Shuju assumes no liability or responsibility for any payments you make, billing errors, or tax compliances managed through Lemon Squeezy.

4.4. Subscription Service.

The Service may include certain subscription-based plans with automatically recurring payments for periodic charges (“Subscription Service”). The “Subscription Billing Date” is the date when you purchase your first subscription to the Service and your payment is successfully processed by Lemon Squeezy. The Subscription Service will begin on the Subscription Billing Date and continue for the subscription period that you select on your account (such period, the “Initial Subscription Period”), and will automatically renew for successive periods of the same duration as the Initial Subscription Period (the Initial Subscription Period and each such renewal period, each a “Subscription Period”) unless you cancel the Subscription Service or we terminate it. If you activate a Subscription Service, then you irrevocably authorize Yuanshi Shuju or Lemon Squeezy to periodically charge, on a going-forward basis and until cancellation of the Subscription Service, all accrued sums on or before the payment due date. Yuanshi Shuju reserves the right to, without prior notification, suspend the Subscription Service if the payment or charge fails due to insufficient balance or other reasons attributable to you. Information on the recurring fee charged by Yuanshi Shuju for access to the Subscription Service during each Subscription Period (“Subscription Fee”), is available on our Pricing Page, or otherwise described in the Service. Yuanshi Shuju reserves the right to adjust the Subscription Fee for any subsequent Subscription Period; provided that we will make reasonable efforts to notify you of any price changes (such as via email or an announcement on our Pricing Page) prior to your renewal date. If you do not agree to the adjusted price, you must cancel your Subscription Service prior to the renewal date; your continued use of the Subscription Service after the price change takes effect constitutes your acceptance of the adjusted price. Your account will be charged automatically on the Subscription Billing Date and thereafter on the renewal date of your Subscription Service for all applicable fees and taxes for the next Subscription Period. You must cancel your Subscription Service at least 24 hours before it renews in order to avoid billing of the next periodic Subscription Fee to your account. Yuanshi Shuju or Lemon Squeezy will bill the periodic Subscription Fee to the payment method associated with your account or that you otherwise provide to us. You may cancel the Subscription Service by using the cancellation functionality made available in your billing menu or by contacting us at support@goosewriteapp.com. YOUR CANCELLATION MUST BE COMPLETED AT LEAST 24 HOURS PRIOR TO THE RENEWAL DATE IN ORDER TO AVOID AUTOMATIC CHARGES FOR THE NEXT SUBSCRIPTION PERIOD.

4.5. Add-On and Usage-Based Features.

You may purchase additional products, services or features that are not individually essential for the functioning of the Service, but that Yuanshi Shuju make available to our users for enhanced capabilities on a supplemental basis, including any optional usage-based pricing features or supplementary modules that may be described in the Service from time to time ("Add-Ons"). Add-Ons are deemed part of the Service and governed by these Terms. Fees for Add-Ons, if any, will be available on our Pricing Page, or otherwise described in the Service at the time of purchase.

4.6. Delinquent Accounts.

Yuanshi Shuju may suspend or terminate access to the Service, including fee-based portions of the Service, for any account for which any amount is due but unpaid. In addition to the amount due for the Service, a delinquent account will be charged with fees or charges that are incidental to any chargeback or collection of any unpaid amount, including collection fees. If your payment method is no longer valid at the time a renewal Subscription Fee is due, we reserve the right to downgrade your account to a free tier, deactivate premium local features within the software, or suspend your account authentication privileges without any liability to you.

5. Ownership and Licenses.

5.1. Service.

Yuanshi Shuju and its licensors shall own and retain all right, title and interest in and to the Service, all improvements, enhancements or modifications thereto, and all intellectual property rights associated with the foregoing. There are no implied licenses in these Terms and Yuanshi Shuju reserves all rights to the Service not granted in these Terms.

5.2. Feedback.

We appreciate the thoughts and comments from our users. If you choose to provide input and suggestions regarding existing functionalities, problems with or proposed modifications or improvements to the Service (“Feedback”), then you grant us a permanent, inalienable, worldwide, royalty-free, and non-exclusive right to use, duplicate, modify, and create derivative works from the Feedback without restriction or compensation to you (including without limitation to the extent the Feedback is the basis of any modifications to the Service).

5.3. Content.

As between you and Yuanshi Shuju, you retain all of your right, title, and interest in and to your Content (including Materials and Outputs) as expressly set forth in Section 1.2 of these Terms.

5.4. Usage Data.

Yuanshi Shuju may:

(a) collect, analyze, and otherwise process Usage Data internally for its business purposes, including for security and analytics, to enhance the Service, and for other development and corrective purposes;

(b) disclose Usage Data to third parties only in an aggregated and/or de-identified form and in a manner that does not identify you. “Usage Data” means technical logs, data, and learnings about your use of and interactions with the Service, but excludes Content.

6. Third-Party Services.

The Service may include or incorporate optional third-party services, integrations, or features, including without limitation third-party sign-in providers, content publishing platforms, or embedded media from third-party websites (“Third-Party Services”). If you elect, in your sole discretion, to access or use a Third-Party Service, your access and use of the Third-Party Service is subject to the terms provided by that Third-Party Service, and you remain responsible for complying with those terms. Yuanshi Shuju does not make any representations or warranties with respect to Third-Party Services.

7. Communications.

We may send you emails concerning our products and services, as well as those of third parties. You may opt out of promotional emails by using any unsubscribe or similar functionality or instructions in the promotional email.

8. Modification of Terms.

We may, from time to time, change these Terms. Please check these Terms periodically for changes. If we make any material modifications, we will notify you by updating the date at the top of these Terms and by maintaining a current version of these Terms on this page. All modifications will be effective when they are posted, and your continued accessing or use of the Service will serve as confirmation of your acceptance of those modifications. If you do not agree to the modified Terms, then you must discontinue your use of the Service.

9. Termination.

You may stop accessing the Service at any time. We reserve the right to modify, suspend, or discontinue the Service or your access to the Service, in whole or in part, at any time without notice to you. Although we will strive to provide you with reasonable advance notice if we stop offering the Service, there may be urgent situations, such as preventing abuse or addressing security issues or responding to legal requirements, where providing advance notice is not feasible. We will not be liable for any change to or any suspension or discontinuation of the Service or your access to them. If you have a Subscription Service, we may terminate the Subscription Service at any time for any other reason. If we exercise this right, we will refund you on a pro rata basis the fees you paid for the remaining portion of your Subscription Service after termination, provided that if we terminate your access to the Service due to a violation of these Terms, you will not be entitled to any refund. We also may terminate your account if it has been inactive for over a year and you do not have a paid account. If we do, we will provide you with advance notice. Upon termination of these Terms, a Subscription Service, or your access to the Service, we may at our option terminate your account authentication credentials and restrict your access to premium features of the software. Because the Service is a Local-First platform and we do not store your Content, your local data availability is subject to the disclaimer set forth in Section 14, and Yuanshi Shuju shall have no liability for any loss of local data resulting from your inability to access account verification services. Sections 1.3, 4 (with respect to fees outstanding as of such expiration or termination), 5, and 13-17 will survive any expiration or termination of our Terms or a Subscription Service. If you believe we have suspended or terminated your account in error, you can file an appeal with us by contacting support@goosewriteapp.com.

10. Modification of the Service.

Yuanshi Shuju may modify or discontinue all or any portion of the Service at any time (including by limiting or discontinuing certain features of the Service), temporarily or permanently, without notice to you. Yuanshi Shuju will have no liability for any change to the Service, including any paid-for functionalities of the Service, or any suspension or termination of your access to or use of the Service. As a Local-First platform, you remain solely responsible for the export and backup of your Content pursuant to Section 14. You acknowledge that modifications to the Service may affect future updates, and you are advised to regularly export your Content in industry-standard formats. Yuanshi Shuju reserves the right to deploy updates, patches, or modifications to the software. You may choose to enable or disable the "Automated Updates" feature within the software settings.

(a) If Automated Updates are enabled, you acknowledge and agree that updates may be automatically installed without prior specific notice to you. To the maximum extent permitted by applicable law, all such automated updates are provided on an "AS IS" basis, and Yuanshi Shuju shall not be liable for any local system instability, hardware/software conflicts, or temporary disruption of use resulting from such automated installations.

(b) If you disable Automated Updates, you choose to remain on an outdated version of the software entirely at your own risk. Yuanshi Shuju does not guarantee that previous versions of the software or Service will remain functional, secure, or compatible with updated third-party infrastructure or operating systems. Upon the release of any update, Yuanshi Shuju is under no obligation to provide maintenance, bug fixes, security patches, or technical support for any previous versions.

If you believe that your intellectual property rights have been infringed by any content available through the Service, please send a formal written notice to support@goosewriteapp.com. We respect intellectual property rights and will expeditiously review and address all legitimate complaints in accordance with applicable copyright laws and the "safe harbor" regulations of relevant jurisdictions. To be effective, your notice must be submitted in writing and include the following information:

(a) A physical or electronic signature of the copyright owner or a person authorized to act on their behalf;

(b) Identification of the copyrighted work claimed to have been infringed;

(c) Identification of the material that is claimed to be infringing and its precise location within the Service (e.g., the specific URL or path) so that we can locate it;

(d) Your contact information, including your physical address, telephone number, and email address;

(e) A statement that you have a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and

(f) A statement that the information in the notification is accurate, and that you are the copyright owner or authorized to act on the copyright owner’s behalf.

12. Privacy.

Please read the Yuanshi Shuju Privacy Policy (“Privacy Policy”) carefully for information relating to our collection, use, storage, and disclosure of your personal data.

13. Indemnity.

To the fullest extent permitted by law, you are responsible for your use of the Service, and you will defend and indemnify Yuanshi Shuju, its affiliates and each of their respective shareholders, directors, managers, members, officers, employees, consultants, and agents (together, the “Yuanshi Shuju Entities”) from and against any and all liabilities, claims, damages, expenses (including reasonable attorneys’ fees), and other losses arising out of or relating to:

(a) your unauthorized use of, or misuse of, the Service;

(b) your violation of any portion of these Terms, any representation, warranty, or agreement referenced in these Terms, or any applicable law or regulation;

(c) any claim that your Materials violate any third-party intellectual property, publicity, confidentiality, privacy, or other rights.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (without limiting your indemnification obligations with respect to that matter), and in that case, you agree to cooperate with our defense of those claims.

14. DISCLAIMER OF WARRANTIES.

THE SERVICE IS PROVIDED “AS IS” AND ON AN “AS AVAILABLE” BASIS. YUANSHI SHUJU DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, RELATING TO THE SERVICE, INCLUDING:

(A) ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, OR NON-INFRINGEMENT;

(B) ANY WARRANTY ARISING OUT OF COURSE OF DEALING, USAGE, OR TRADE.

YUANSHI SHUJU DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR FREE OF ERRORS, VIRUSES, OR OTHER HARMFUL COMPONENTS, AND YUANSHI SHUJU DOES NOT WARRANT THAT ANY OF THOSE ISSUES WILL BE CORRECTED. THE LAWS OF SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF IMPLIED WARRANTIES, SO SOME OR ALL OF THESE DISCLAIMERS MAY NOT APPLY TO YOU.

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT, AS A LOCAL-FIRST APPLICATION, THE SERVICE OPERATES WITHIN YOUR OWN LOCAL COMPUTING ENVIRONMENT.

IMPORTANT ACKNOWLEDGEMENT ON LOCAL DATA STORAGE: You explicitly acknowledge that the Service is a local-first desktop application. This means that all project files, databases, documents, and credentials reside entirely on your physical device and are NOT backed up onto Yuanshi Shuju’s servers. Uninstalling the application, clearing local storage directories, hardware failure, or device loss will result in the PERMANENT AND IRRECOVERABLE DELETION of your Content. You are strictly required to manage your own backup routines using secondary hard drives or third-party cloud solutions. Yuanshi Shuju bears zero responsibility for data reconstruction.

YOU ARE SOLELY RESPONSIBLE FOR THE SECURITY, STABILITY, CONFIGURATION, AND BACKUP OF YOUR LOCAL HARDWARE, OPERATING SYSTEMS, AND STORAGE DEVICES. YUANSHI SHUJU SHALL NOT BE LIABLE FOR ANY CONTENT LOSS, DATA CORRUPTION, OR SYSTEM INCOMPATIBILITY CAUSED BY THIRD-PARTY SOFTWARE CONFLICTS, LOCAL MALWARE, VIRUSES, HARDWARE FAILURES, OR UNAUTHORIZED ACCESS TO YOUR PERSONAL DEVICE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YUANSHI SHUJU DOES NOT GUARANTEE THAT YOUR LOCAL CONTENT WILL BE IMMUNE TO LOSS, CORRUPTION, OR DAMAGE. PURSUANT TO THE GENERAL LOCAL-FIRST PRINCIPLES STATED ABOVE, YOU AGREE THAT YOU ARE ENTIRELY RESPONSIBLE FOR IMPLEMENTING INDEPENDENT, REGULAR BACKUPS OF ALL CONTENT STORED ON YOUR DEVICES, AND THAT YUANSHI SHUJU ACCEPTS ZERO LIABILITY FOR ANY VALUATION, EXPENSE, OR LOSS ASSOCIATED WITH THE RECOVERY, RECONSTRUCTION, OR ABSENCE OF SUCH DATA.

15. LIMITATION OF LIABILITY

15.1. NO INDIRECT DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE YUANSHI SHUJU ENTITIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF DATA, LOSS OF USER CONTENT, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, LOSS OF PROFITS, GOODWILL, OR ANY OTHER INTANGIBLE LOSS) ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICE, OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT ANY YUANSHI SHUJU ENTITY HAS BEEN INFORMED OF THE POSSIBILITY OF DAMAGE.

15.2. LIABILITY CAP.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF THE YUANSHI SHUJU ENTITIES TO YOU FOR ALL CLAIMS, DAMAGES AND LOSSES ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICE, AND CONTENT, WHETHER IN CONTRACT, TORT, OR OTHERWISE, IS LIMITED TO THE GREATER OF:

(A) THE AMOUNT YOU HAVE PAID TO YUANSHI SHUJU FOR ACCESS TO AND USE OF THE SERVICE IN THE SIX (6) MONTHS PRIOR TO THE EVENT OR CIRCUMSTANCE GIVING RISE TO THE CLAIM OR, IF GREATER,

(B) $100.

THE FOREGOING LIMITATIONS ARE ESSENTIAL TO THESE TERMS, AND WE WOULD NOT OFFER THE SERVICE TO YOU UNDER THESE TERMS WITHOUT THESE LIMITATIONS. THE LIMITATIONS IN THIS SECTION WILL APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

15.3. FORCE MAJEURE AND CROSS-BORDER NETWORK INFRASTRUCTURE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YUANSHI SHUJU SHALL HAVE NO LIABILITY FOR ANY FAILURE, DISRUPTION, OR DELAY IN PERFORMANCE RESULTING FROM CONDITIONS BEYOND ITS REASONABLE CONTROL, INCLUDING BUT NOT LIMITED TO ACTS OF GOD, GOVERNMENT ACTIONS, REGULATORY CHANGES, INTERNATIONAL POLITICAL CONFLICTS, CROSS-BORDER NETWORK BACKBONE FAILURES, REGIONAL INTERNET ROUTING DISRUPTIONS, DOMAIN NAME RESOLUTION (DNS) RESTRICTIONS, OR CYBER-ATTACKS TARGETING CORE DIGITAL INFRASTRUCTURE. YOU ACKNOWLEDGE THAT UNDER SUCH GEOPOLITICAL OR TRANS-REGIONAL TECHNICAL EMERGENCIES, YOUR ACCESS TO AUTHENTICATION SERVICES (E.G., CLERK) OR BILLING PLATFORMS (E.G., LEMON SQUEEZY) MAY BE TEMPORARILY DEGRADED OR INTERRUPTED, AND YOU AGREE THAT SUCH TEMPORARY UNAVAILABILITY SHALL NOT CONSTITUTE A BREACH OF THESE TERMS BY YUANSHI SHUJU.

16. DISPUTE RESOLUTION

PLEASE READ THIS SECTION CAREFULLY AS IT AFFECTS YOUR RIGHTS.

16.1. Governing Law and Jurisdiction; Forum.

You agree that any and all disputes or claims that have arisen or may arise between you and Yuanshi Shuju, whether arising out of or relating to these Terms (including any alleged breach thereof), the Service, any advertising, or any aspect of the relationship or transactions between you and Yuanshi Shuju, will be governed by and construed in accordance with the laws of Hong Kong, without regard to its conflict of law principles.

You agree that any such dispute or claim shall be resolved exclusively through a court of competent jurisdiction located in Hong Kong. You hereby irrevocably submit to the exclusive jurisdiction of the courts of Hong Kong. You agree that, by entering into these Terms, you and Yuanshi Shuju are each waiving the right to a trial by jury (to the extent such right exists under applicable law) or to participate in a class action.

16.2. Prohibition of Class and Representative Actions and Non-Individualized Relief.

YOU AND YUANSHI SHUJU AGREE THAT EACH OF US MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION OR PROCEEDING. UNLESS BOTH YOU AND YUANSHI SHUJU AGREE OTHERWISE, THE COURT MAY NOT CONSOLIDATE OR JOIN MORE THAN ONE PERSON’S OR PARTY’S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CONSOLIDATED, REPRESENTATIVE, OR CLASS PROCEEDING. ALSO, THE COURT MAY AWARD RELIEF (INCLUDING MONETARY, INJUNCTIVE, AND DECLARATORY RELIEF) ONLY IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO PROVIDE RELIEF NECESSITATED BY THAT PARTY’S INDIVIDUAL CLAIM(S).

16.3. Pre-Litigation Dispute Resolution.

Yuanshi Shuju is always interested in resolving disputes amicably and efficiently, and most customer concerns can be resolved quickly and to the customer’s satisfaction by emailing support@goosewriteapp.com. If such efforts prove unsuccessful, a party who intends to seek legal redress in court must first send to the other a written Notice of Dispute (“Notice”). The Notice to Yuanshi Shuju may be delivered validly via email to support@goosewriteapp.com (with the subject line 'LEGAL NOTICE OF DISPUTE'), or by physical mail to Beijing Yuanshi Shuju Technology Co., Ltd., ePark, No.25 Huayuan North Rd, Haidian District, Beijing, China. The Notice must (i) describe the nature and basis of the claim or dispute and (ii) set forth the specific relief sought. If Yuanshi Shuju and you do not resolve the claim within sixty (60) calendar days after the Notice is received, you or Yuanshi Shuju may commence a court proceeding.

16.4. Severability.

If a court decides that any term or provision of this Dispute Resolution section is invalid or unenforceable, the parties agree to replace such term or provision with a term or provision that is valid and enforceable and that comes closest to expressing the intention of the invalid or unenforceable term or provision. Notwithstanding the foregoing, if the provisions of Section 16.2 (Prohibition of Class and Representative Actions and Non-Individualized Relief) are found to be invalid or unenforceable by a court, the parties agree that such invalidity shall not affect the validity of the remaining portions of these Terms, which shall remain in full force and effect. The remainder of these Terms will continue to apply.

17. Miscellaneous.

17.1. General.

These Terms, including the Privacy Policy, and any other agreements expressly incorporated by reference into these Terms, are the entire and exclusive understanding and agreement between you and Yuanshi Shuju regarding your use of the Service. You may not assign or transfer these Terms or your rights under these Terms, in whole or in part, by operation of law or otherwise, without our prior written consent. We may assign these Terms and all rights granted under these Terms, including with respect to your Content, at any time without notice or consent. The failure to require performance of any provision will not affect our right to require performance at any other time after that, nor will a waiver by us of any breach or default of these Terms, or any provision of these Terms, be a waiver of any subsequent breach or default or a waiver of the provision itself. If any part of these Terms is held to be invalid or unenforceable, then the unenforceable part will be given effect to the greatest extent possible, and the remaining parts will remain in full force and effect.

By using the Service, you consent to receiving certain electronic communications from us as further described in our Privacy Policy. Please read our Privacy Policy to learn more about our electronic communications practices. You agree that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements, including that those communications be in writing.

17.4. Limited Support.

Yuanshi Shuju provides limited technical support via email at support@goosewriteapp.com on a best-effort basis. We do not guarantee any specific response times, service level agreements (SLAs), or that all reported software bugs or technical compatibility issues will be resolved.

17.5. Export and Trade Controls.

You must comply with all applicable import, export, and trade economic sanctions laws and regulations. You represent and warrant that you are not located in, under the control of, or a national or resident of any country or territory, nor are you an individual or entity, subject to comprehensive trade sanctions or export control restrictions imposed by the People's Republic of China, the United Nations, the United States, or any other applicable jurisdiction. You agree that the Service may not be used for any end-uses prohibited by applicable trade laws, and your Content shall not include any data, material, or technology that requires a government export license or authorization prior to transmission or release under applicable export control regimes. You represent and warrant that you will comply with all applicable Trade Control Laws, including but not limited to the U.S. Export Administration Regulations (EAR) and sanctions administered by the U.S. Treasury Department's Office of Foreign Assets Control ("OFAC"). You further warrant that you are not designated on any list of prohibited parties maintained by the UN, BIS, or OFAC.

18. US Government End Users.

The Service and Documentation are "commercial items" as defined at FAR 2.101. If acquired by or on behalf of the U.S. Government, the Government's rights will be only those specified in these Terms.
